SLIDE MARCH MADNESS SWEEPSTAKES

NO PURCHASE NECESSARY TO ENTER OR WIN. PURCHASE OR OPTING INTO SPECIFIC ADVERTISER OFFERS DOES NOT IMPROVE ONE'S CHANCES OF WINNING.

Entry is easy:

* Make a new Slide Show - which includes a Slide Show, Guestbook, SkinFlix or Themepic - branded with one of the 64 collegiate basketball team's skins which are found on our MARCH MADNESS page (a "Madness Skin");

* Register for a free account on Slide.com with a valid email address (if you don't already have one); and

* Post the Madness Skin on a blog or social network profile such as Facebook, MySpace, Bebo or Hi5 (a "Webpage").

Every Madness Skin created by an Eligible User after 12:01 AM (Pacific Daylight Time) March 13, 2007 and posted on a Webpage before 11:59 PM (Pacific Daylight Time) on April 2, 2007 will be treated as a separate Qualified Entry.

Shortly after the end of each round of the National Collegiate Athletic Association Men's Basketball Championship, one winner will be randomly selected out of all Qualified Entries submitted since end of the previous Entry Period (for a total of six (6) drawings).

You may enter as many times as you like - just create and post another new Madness Skin.

By clicking on a link on the MARCH MADNESS page to begin the process of creating a Madness Skin, you will be deemed to have accepted all the terms of these Official Rules. In addition, in the event you are a drawn as a winner of a Nintendo Wii(R), you will be required to execute a Affidavit of Eligibility, Liability & Publicity Release, which, among other things, will grant Slide, Inc. permission to use, without notice or further compensation, your name, your town name and state, likeness, statements or prize information in connection with publicity regarding the Sweepstakes, worldwide, in perpetuity, in any and all forms of media now known and hereafter devised, including, without limitation, on Slide, Inc.'s websites except where prohibited.

Eligibility: An "Eligible User" is any legal resident of the fifty (50) United States and the District of Columbia who is at least eighteen (18) years old at the time of entry and who has created an account at www.Slide.com and provided Slide, Inc. with a valid email address (If at the start of the creation process you are not a registered user you MUST register at the end of the creatin process or you will not be an "Eligible User"). Employees of Slide, Inc., any affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not Eligible Users.

Entry Period: There will be six (6) "Entry Periods", the first starting at 12:01 AM (Pacific Daylight Time) on March 13, 2007, and ending at 11:59 PM (Pacific Daylight Time) on the day that the last game of the first round of the National Collegiate Athletic Association Men's Basketball Championships is completed. Each subsequent Entry Period will start immediately after the completion of the prior Entry Period, and end at 12:01 AM (Pacific Daylight Time) on the day that the next round ends, with the sixth (6th) Entry Period concluding at 11:59 PM (Pacific Daylight Time) on April 2, 2007.

Qualified Entries: Every Madness Skin created by an Eligible User after 12:01 AM (Pacific Daylight Time) on March 13, 2007 and posted to a Webpage before 11:59 PM (Pacific Daylight Time) on April 2, 2007 will be treated as a separate Qualified Entry as of the time such Madness Skin is first created. Madness Skins that violate Slide, Inc.'s Terms of Use (e.g., because it contains a Prohibited Posting or an Infringing Posting), may be disqualified in Slide's sole discretion.

NOTE: Entry must be made by the entrant at www.Slide.com. Entries made by any other individual or any entity, and/or originating at any other Internet web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of any device to automate the entry process is prohibited.

Winner Selection: Winners will be selected in a random drawing from among all Eligible Entries associated with an Entry Period within three (3) days after the last day of each Entry Period. The prize winner for each Entry Period will be notified by e-mail within two (2) days after selection and will be required to execute and return a notarized Affidavit of Eligibility, Liability & Publicity Release within fourteen (14) days of the delivery of notice in order to claim the prize. If the winner cannot be reached or does not return the notification email, or fails to sign and return the Affidavit of Eligibility, Liability & Publicity Release within the required time period, the winner forfeits the prize. The winner must comply with all terms and conditions of the Sweepstakes, and winning is contingent upon fulfilling of all requirements. If a prize notification or a prize is returned as undeliverable for any reason, the applicable prize will be awarded to an alternate winner. In the event that the winner is disqualified for any reason, Slide, Inc. will randomly draw another Qualified Entry for the corresponding Entry Period and award the applicable prize to the winner of that drawing. Prizes are not transferable, assignable, or redeemable for cash. If necessary due to unavailability of a prize, a prize of equal or greater value will be awarded at the sole discretion of the Sponsor. All decisions are final. Limit one (1) prize per household.

Interpretation of Rules. Official Rules and Slide, Inc.'s decisions, are final and binding in all matters related to the Sweepstakes, including whether a Madness Skin is "new", which Entry Period a Qualified Entry is included in, whether an individual's email address is "valid", and whether the entrant is a "Eligible User".

All Federal, state and local tax liabilities are the responsibility of the winners.

Prizes/Odds Of Winning: Grand Prize consists of (1) Nintendo Wii, approximate retail value $380.00 (6 will be awarded): The total approximate retail value of all prizes to be awarded in this Sweepstakes is $2,280.00. The odds of winning a prize are determined by the total number of Qualified Entries received and are equal regardless of method of entry. All prizes are awarded "as is" with no guarantee, either express or implied. If by reason of a printing, typographical, or other error, more prizes are claimed than the number set forth in these official rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available in the prize category in question. No more than the advertised number of prizes will be awarded. The prize will be shipped to the winner at the expense of Slide, Inc.

If for any reason, this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsor reserves the right to conduct a random drawing to award all remaining prizes from among all eligible, non-suspect on-line entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and/or civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Where a dispute arises about who submitted an on-line entry, the entry will be deemed submitted by the authorized account holder of the e-mail account associated with the Eligible User's Slide account. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met.

General: Entrants release and waive any claims they may have against Releasees (defined below) for any and all injuries, claims, damages, losses, costs, or expenses of any kind (including without limitation attorney's fees) resulting from participation in this Sweepstakes or from acceptance, use, or misuse of any prize or parts thereof.

The Slide March Madness Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited. The sponsor of this Sweepstakes is Slide, Inc., Attn: Wii Sweepstakes, San Francisco, CA 94105 (the "Sponsor"). The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein. Certain restrictions may apply.

The Sponsor and any and all Internet server(s) and access provider(s) (collectively, "Promotion Entities"), and each of their respective affiliates, subsidiaries, parent corporations and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively with the Promotion Entities, the "Releasees") are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to a participant's or any other person's computer relating to or resulting from participation in the Sweepstakes; inability to access the Entry Site; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site (including the Entry Site) or for any other reason whatsoever; printing or other errors; any entries which are late, lost, incomplete, misdirected, stolen, mutilated, illegible, or any combination thereof. False, fraudulent or deceptive entries or acts shall render entrants ineligible. By entering the Sweepstakes, entrants affirm that they have read and accepted these Official Rules. The Sweepstakes shall be governed by and construed in accordance with the laws of the State of California. By entering the Sweepstakes, entrants hereby submit to the jurisdiction and venue of the federal and state courts of the State of California and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. Any entry information collected from the Sweepstakes shall be used only in a manner consistent with the consent given by entrants at the time of the entry, with these Official Rules and with the Slide.com online Terms of Use and Privacy Policy, which can be found at the bottom of the Slide.com website homepage.

Governing Law: Sweepstakes will be governed by and construed in accordance with the laws of the State of California. All federal, state and local laws and regulations apply.

Mandatory Arbitration to Resolve Disputes/Waiver of Jury Trial: To the extent permitted by applicable law, Slide, Inc. and you agree to arbitrate our disputes arising or relating to this Sweepstakes. All claims shall be submitted to final, binding arbitration before the American Arbitration Association ("AAA"). Before instituting arbitration, you agree to provide us with an opportunity to resolve your claim by sending a written description of your claim to Slide, Inc., Attn: Legal, 612 Howard Street, Suite 400, San Francisco, CA 94105, or by email to and negotiating with us in good faith regarding your claim. If we are not able to resolve your claim within 30 days of receipt of your notice, then you or we, instead of suing in court may initiate arbitration proceedings with the AAA. Arbitration will be conducted under the AAA's rules and procedures which are available at www.adr.org. You and we agree to pay our own fees, costs and expenses, including those for any attorneys, experts and witnesses. Any award of the arbitrator(s) shall be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction. To the extent permitted by applicable law, you and we may only bring claims against each other in an individual capacity and not as a class representative or a class member in a class representative action. You and we waive any right to jury trial involving any claim or disputes between you and us.
